Who pays what on Fursa365? Fursa365, the platform, receives no money from anyone. Zatra Consultants Limited charges its own client a professional fee under a Professional Services and Fee Agreement, scaled to the size of the transaction and due mainly on completion. Nembo, panel professionals and the licensed auctioneer charge for their own work. Nobody takes a share of the price.

What changed in the fee model
Fursa365 opened with a success fee model. On 31 October 2026 the model was replaced. The platform now charges nothing: no listing fee, no commission, no deposit, no subscription for the deal room. The work that used to sit behind a success fee is now a professional service, provided by Zatra Consultants Limited to its own client under a written engagement, the Professional Services and Fee Agreement (PSFA). The change was made so that each firm on the floor is paid for its own work, by the party it works for, under its own licence and terms.
The Terms of Use, clause 12, now say that using the platform is free, that the professional fee is Zatra's and is paid under the PSFA, and that fees are exclusive of VAT and any other tax that applies.
Who is affected
Every party on the floor, in a different way. Owners and buyers who only list and browse pay nothing at all. A party who engages Zatra to verify a counterparty, structure a deal and take it to completion signs a PSFA and pays the fee it sets. Parties who commission a document from Nembo pay Nembo. Parties who engage a geologist, valuer or advocate from the panel pay that professional directly. Consignors and bidders in the auction room deal with Kasongo Auction Mart Limited under its own conditions of sale.
Which firm is paid, and by whom?
| Firm | Charges | For | Paid by |
|---|---|---|---|
| Fursa365, the platform | Nothing | Listings, matching, deal rooms, rounds, tenders, the auction room | Nobody |
| Zatra Consultants Limited | Professional fee under the PSFA | Verification, structuring, deal room coordination, completion | The engaging party, directly to Zatra |
| Nembo Creative Limited | Professional fee, quoted per document | Business plans, profiles, proposals, listings, campaigns | The party that commissions the document |
| Panel professionals | Their own fees | Valuation, survey, assay, legal and tax due diligence | The client that engages them |
| Kasongo Auction Mart Limited | Auctioneer's charges under its licence | Cataloguing, bidder registration, the sale, the sale note | As its conditions of sale state |
| Government and regulators | Official charges | Registrations, searches, consents, stamp duty | The applicant, at the official rate, never marked up |
What does the PSFA cover?
The PSFA is a two-party agreement between Zatra and its client. Schedule 1 lists the services by stage: verification of the counterparty's identity, authority, title, licence and documents; structuring of the lawful route, entity, licences, approvals and tax points; the staged data room and question log; heads of terms for the client's review; coordination of the client's own professionals; and the completion checklist. Schedule 2 sets the fee. Schedule 3 names the opportunity, the introduced party and the protection period.
The agreement makes three things explicit. Zatra acts for the client only and is not paid by the other side. Zatra does not practise as an advocate, valuer or supplier of capital, and does not receive or hold money owed between the parties. The client runs its own due diligence and signs its own agreement with the introduced party through its own advocate.
How is the fee scaled?
The fee is set by applying a rate in Schedule 2 to the Project Value band the transaction falls into, subject to a minimum fee. Project Value is the total consideration: the price of a transfer, the total hire or lease payments for the initial term, the capital or assets committed to a joint venture, or the contract value of an offtake for its initial term. Where consideration is not money, it is valued at market value at completion. Project Value is used only as the measure of the size and complexity of the work; it is not a share of the price.
| Project Value band, TZS | Fee rate | Note |
|---|---|---|
| Up to 100,000,000 | As stated in Schedule 2 | Subject to the minimum fee |
| 100,000,001 to 500,000,000 | As stated in Schedule 2 | Lower rate than the first band |
| 500,000,001 to 2,000,000,000 | As stated in Schedule 2 | Lower again |
| Above 2,000,000,000 | As stated in Schedule 2 | Quoted on the file |
Rates are stated in the signed PSFA, not on the website, because they depend on the scope agreed. The desk sends the schedule in writing before any introduction. Fixed-price services, such as an onsite asset verification at USD 499, are quoted and invoiced separately, whether or not a completion occurs.
When does the fee fall due?
Mainly on completion. Completion is the date the client and the introduced party sign a binding agreement and the first money, asset or consideration moves under it. If completion does not occur, no completion balance is payable. Schedule 2 may state an engagement part, payable on signature and credited against the completion fee; it is not refundable once the services have started. The client notifies Zatra within seven days of completion and provides evidence of the consideration so the fee can be computed.
The client pays only to the bank account of Zatra Consultants Limited stated on the invoice. Nothing is paid to or through the platform, to an individual or to any other account, and the client reports any such request to the desk.
Is VAT charged on the fee?
The fee is exclusive of value added tax. Zatra is registered for VAT and charges it at the standard rate of 18% on professional services supplied in Mainland Tanzania, under the Value Added Tax Act, Cap. 148. A client registered for VAT recovers the input tax in the ordinary way. Withholding tax on professional fees paid to a resident company is a matter between the client and the Tanzania Revenue Authority under the Income Tax Act, Cap. 332; the invoice shows the gross fee and the client's advocate or accountant applies the correct treatment. Zanzibar transactions follow the Zanzibar Revenue Authority's VAT rules, which the parties confirm before invoicing.
A worked example: a copper stockpile offtake
A licensed dealer in Mbeya engages Zatra to verify a PML holder, structure a monthly offtake and take it to completion. The offtake is for twelve months at an indicative TZS 60 million a month, so the Project Value is TZS 720 million and the file sits in the TZS 500 million to 2 billion band. Suppose Schedule 2 sets the rate for that band at 2.5%. The professional fee is TZS 18 million, plus VAT of TZS 3.24 million, invoiced by Zatra to the dealer on completion. The dealer pays the PML holder for every delivery directly, under the offtake agreement their advocates drafted, and the Mining Commission royalty and inspection fee on each sale are paid at the official rate under the Mining Act, Cap. 123, by the party the law names.
The rate in this example is illustrative. The rate that applies is the one in the signed PSFA.
What protects the fee, and the client?
Two signatures before any name moves. The NDNCA stops either side going around the introduction and makes the professional fee payable if a party completes outside the platform during the protection period. The PSFA records the scope and the fee so the client knows the cost before work starts. The client is protected by the same documents: the fee is capped by the schedule, no payment is due unless completion occurs, and no money is ever routed through the platform or a personal account.
What to do now
- Decide what you need: screening only, which is free, or Zatra's services as your adviser through to completion.
- Ask the desk for the fee schedule for your transaction; it comes in writing before any introduction.
- Sign the PSFA with the scope and fee you agreed, through the deal room or on paper.
- Sign the NDNCA when the introduction is offered; both sides sign before names move.
- Pay only Zatra's bank account against a tax invoice, and report any other request to the desk.
- Notify completion within seven days with evidence of the consideration.

How Zatra helps
Zatra Consultants Limited provides the transaction services under the PSFA and nothing else on the floor is charged. Government charges, such as registry searches, consents, stamp duty, royalties and licence fees, are paid by the applicant at the official rate, and the Zatra government fees register lists them with their IDs. Zatra does not decide or guarantee any authority's outcome and does not act as advocate; the client's advocate papers the deal and the parties settle directly through banks.

Questions readers ask
Is it free to list an offer or post a request?
Yes. Opening an account, listing, browsing the deal room, entering a round and reading the library are free. The platform receives no money from anyone. A fee arises only when a party engages Zatra, Nembo, a panel professional or the auctioneer for work.
Does the other side pay anything to Zatra?
No. Zatra acts for its own client only and is paid only by that client. If both parties want Zatra's help, each signs its own PSFA and the conflicts rule applies, with disclosure to both before Zatra acts.
What if the deal falls through after months of work?
No completion balance is payable. Any engagement part stated in Schedule 2 is kept, and fixed-price services already delivered, such as an onsite verification, remain payable. The schedule says this before you sign.
Is the fee a commission?
No. It is a fee for services, scaled to the size of the work by the Project Value band and subject to a minimum. It is invoiced by Zatra with VAT like any professional fee, and it is never deducted from the price paid between the parties.
Can I negotiate the rate?
The schedule is set per file according to scope. A narrower scope, such as verification only, carries a lower fee. Ask the desk for the written schedule before you sign; nothing is due until you have it.
Who pays the government charges?
The applicant, at the official rate. Searches, consents, stamp duty, royalties and licence fees are never marked up and never pass through Zatra or the platform unless the client asks Zatra to pay on its behalf against receipts.
What about the auctioneer's charges?
Kasongo Auction Mart Limited sets and collects its own charges under its licence and conditions of sale, including any buyer's premium. Those are between the auctioneer and the parties; Fursa365 refers the lot and records the outcome.
